Composition of the Board of Directors
The Board of Directors provides strategic guidance of the Company’s activities, controls operation of the executive bodies and ensures observance of the rights and interests of the shareholders. Competence of the Board of Directors lies in determination of the Company’s strategy, control over financial and economic activity, keeping up efficiency of the internal control system, development and approval of the major internal regulations on main areas, ensuring exercise of the shareholders' rights and review of reports on the Company performance and fulfilled tasks assigned to the Management. Activities of the Board of Directors are governed by the Regulations for the Board of Directors of Uniper.
A competent and efficient Board of Directors, capable of making unbiased independent judgements and decisions in the best interests of the company and its shareholders is a key element of the company’s corporate governance system.
The company’s Board of Directors is responsible for strategic governance of the company, defines the core principles and approaches to the structure of the company’s risk management and internal control system, forms efficient executive bodies of the company and supervises their activities, and performs other key duties.
Unipro PJSC Board of Directors shall act in compliance with the legislation of the Russian Federation, Unipro PJSC Articles of Association, and Unipro PJSC Regulation on the Board of Directors and report to the General Shareholders’ Meeting of Unipro PJSC.
In accordance with the Articles of Association of Unipro PJSC, the Board of Directors shall consist of nine (9) members.
